Terms of Service

Terms governing your access to and use of the Review Ninja platform operated by Webteam Private Limited.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Webteam Private Limited ("Company", "we", "us") governing your access to and use of Review Ninja, including our website (https://www.reviewninja.in), web application (app.reviewninja.in), APIs, review microsites, digital business cards, and related services (collectively, the "Service").

By creating an account, subscribing to a plan, or using the Service, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you use the Service on behalf of a business, you represent that you have authority to bind that business.

2. Eligibility

You must be at least 18 years old and capable of entering into a binding contract under Indian law. The Service is intended for businesses, sole proprietors, and authorised representatives of organisations.

3. Account Registration and Security

  • You must provide accurate, current, and complete registration information and keep it updated.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • Notify us immediately at support@reviewninja.in if you suspect unauthorised access.
  • We may suspend or terminate accounts that violate these Terms or pose a security risk.

4. Subscriptions, Billing, and GST

Access to paid features requires an active subscription or valid add-on purchase as described on our Pricing page and in your order confirmation.

  • Prices are listed in Indian Rupees (INR) and, unless stated otherwise, exclude GST. GST at 18% (or the applicable rate) is charged on taxable supplies.
  • Payments are processed through Razorpay. By paying, you also agree to Razorpay's terms where applicable.
  • Subscription periods (e.g. 1-year, 2-year) begin on activation unless otherwise stated in your invoice.
  • Plan limits (review actions, businesses, standees, etc.) are as specified in your plan. Exceeding limits may require an upgrade or add-on.
  • Invoices and receipts are issued electronically to your registered email.

5. Acceptable Use

You agree not to misuse the Service. Prohibited conduct includes:

  • Posting, soliciting, or incentivising fake, misleading, or fraudulent Google reviews, or reviews that violate Google's policies or applicable law.
  • Using the rating-gate or feedback features to unlawfully suppress legitimate negative reviews or deceive consumers.
  • Harassing, defaming, or infringing the rights of any person.
  • Uploading malware, attempting unauthorised access, scraping, or overloading our systems.
  • Reselling or sublicensing the Service except through our authorised reseller programme.
  • Using the Service for any unlawful purpose or in violation of DLT, TRAI, or WhatsApp Business policies when sending messages.
  • Misrepresenting your identity, business, or affiliation with Google or any third party.

We may investigate violations and remove content, suspend features, or terminate accounts at our discretion.

6. AI Review Suggestions

Review Ninja generates suggested review text using automated systems based on your business profile and keywords. Suggestions are provided as drafting aids only. You and your customers are solely responsible for reviewing, editing, and ensuring the accuracy and legality of any text posted to Google or elsewhere. We do not guarantee search rankings, review volume, or business outcomes.

7. Review Microsites and End Users

When you publish a review microsite or business card, you are responsible for:

  • Providing appropriate privacy notices to individuals who scan your QR code or visit your page.
  • Obtaining any consents required before collecting ratings, feedback, or enquiry data.
  • Responding to End User requests regarding their data where you are the data fiduciary.
  • Ensuring your use of Google review links complies with Google's guidelines.

8. Reseller Programme

Authorised resellers may onboard customers, assign QR codes, and earn commissions under separate reseller terms communicated at onboarding. Resellers must not misrepresent pricing, make unauthorised promises on behalf of the Company, or use the Service in breach of these Terms.

9. Intellectual Property

The Service, including software, design, logos, and documentation, is owned by Webteam Private Limited or its licensors. We grant you a limited, non-exclusive, non-transferable licence to use the Service during your subscription for your internal business purposes. You retain ownership of content you upload; you grant us a licence to host, display, and process that content solely to provide the Service.

10. Service Availability

We strive for high availability but do not guarantee uninterrupted or error-free operation. We may perform maintenance, updates, or modifications with reasonable notice where practicable. Beta or experimental features may be changed or withdrawn at any time.

11. Limitation of Liability

To the maximum extent permitted by Indian law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
  • Our total aggregate liability arising from or related to the Service shall not exceed the fees paid by you to us in the twelve (12) months preceding the claim, or INR 10,000, whichever is greater.
  • We are not liable for indirect, incidental, special, consequential, or punitive damages, loss of profits, data, goodwill, or business interruption.
  • We are not responsible for actions of Google, payment providers, messaging platforms, or third-party services linked from the Service.

12. Indemnity

You agree to indemnify and hold harmless the Company, its directors, employees, and agents from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any third-party rights or applicable law.

13. Termination

You may close your account by contacting support. We may suspend or terminate access for breach of these Terms, non-payment, or legal requirement. Upon termination, your right to use the Service ceases. Provisions that by nature should survive (including payment obligations, liability limits, and indemnity) will survive termination.

14. Governing Law and Disputes

These Terms are governed by the laws of India. Courts in Bengaluru, Karnataka shall have exclusive jurisdiction, subject to any mandatory consumer protection provisions that apply to you.

Before initiating formal proceedings, parties agree to attempt good-faith resolution by contacting support@reviewninja.in.

15. General

  • If any provision is held invalid, the remaining provisions remain in effect.
  • Our failure to enforce a right is not a waiver.
  • These Terms, together with the Privacy Policy, Refund Policy, and Cookie Policy, constitute the entire agreement regarding the Service.
  • We may update these Terms; material changes will be posted with an updated date. Continued use after changes constitutes acceptance where permitted by law.
